• Derived Data: Aggregated or anonymised data generated by Pi Metrics based on usage or analytics, which does not identify any individual.
• Authorized Users: Your employees, contractors, or agents authorised to use the Services under your Account.
• Subscription / Plan: The pricing and feature package under which you use the Services.

4. Use of Services

We grant you a non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes, in accordance with these Terms. You are responsible for all actions taken under your Account, including by your Authorized Users.

You must not:

• reverse engineer, decompile, or copy our software or algorithms;
• use the Services to build a competing product;
• attempt to bypass usage limits or security features; or
• use the Services for any unlawful or harmful activity.

We reserve the right to suspend or terminate your access if we suspect misuse or breach.

5. API Access & Usage

5.1 Access and Authentication

• Access to the API requires an API key or OAuth token issued to your Account.
• You are responsible for maintaining the confidentiality of your keys or tokens.
• You must not share, sell, or publicly expose your API credentials.

5.2 Usage Limits and Fair Use

• API usage may be subject to rate limits, quotas, or restrictions specified in your plan or documentation.
• You must not use automated scripts or excessive requests that could overload our infrastructure.
• We reserve the right to throttle, suspend, or revoke API access if we detect abuse or security risks.

5.3 Data Handling

• Data transmitted via API remains your property; however, we may process it to deliver analytics, insights, or benchmarking results.
• We may aggregate, anonymise, and use such data for improving system performance and market insights.

5.4 Third-Party Integration

• You acknowledge that Pi Metrics may use or connect to third-party APIs or data sources (e.g., Meta, TikTok, YouTube).
• You are responsible for complying with the respective platforms’ terms and for obtaining necessary permissions for data access.

6. Billing & Payment

• Some Services require payment under a subscription or usage-based model.
• Fees are billed as per your selected plan and are non-refundable unless otherwise required by law.
• We may change our pricing structure with 30 days’ notice.
• If payment fails or is overdue, we may suspend your access.

7. Data, Privacy & Security

• You retain ownership of your User Data.
• You grant Pi Metrics a limited license to process that data solely for providing and improving our Services.
• We implement reasonable administrative, technical, and physical safeguards to protect your data.

• You are responsible for ensuring your own data compliance (e.g. GDPR obligations).

8. Intellectual Property

• All intellectual property rights in Pi Metrics’ platform, API, algorithms, and materials remain owned by Pi Metrics Ltd.
• You may not copy, reproduce, or distribute any part of our Services without permission.
• If you provide feedback or suggestions, you grant us an unrestricted, royalty-free license to use them.

9. Termination

We may suspend or terminate your Account or API access:

• for breach of these Terms;
• for non-payment;
• for security reasons; or
• upon your written request to close the account.

Upon termination, your right to use the Services ends immediately, though we may retain anonymised data for analytics or legal purposes.

10. Disclaimer & Limitation of Liability

• The Services are provided “as is” and “as available.”
• We do not guarantee uninterrupted or error-free operation.
• To the maximum extent permitted by law, Pi Metrics shall not be liable for any indirect, incidental, or consequential damages, including loss of data or profits.
• Our total aggregate liability shall not exceed the amount paid by you in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Pi Metrics Ltd, its officers, employees, and affiliates from any claims, damages, or expenses arising from:

• your use or misuse of the Services or API;
• any breach of these Terms; or
• any violation of third-party rights or applicable law.

12. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond their reasonable control (e.g., natural disasters, acts of war, government restrictions, or internet outages).

13. Modifications to the Terms

We may modify these Terms from time to time. Updated versions will be posted on our website with the revised “Last Updated” date. Continued use after any change constitutes acceptance.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
